Terms of Service - Lysa AI

These Terms of Service ("Terms") govern your use of the Lysa AI phone assistant service ("Lysa" or the "Service") provided by DIGITAL WOLF DI TAVERNESE MIRKO, a business registered in Alessandria, Italy ("we", "our", or "us"). These Terms are a legally binding agreement. By using the Service, you agree to comply with and be bound by these Terms.

1. Service Overview

Lysa is a managed AI-powered voice assistant service that answers inbound and outbound calls, handles customer queries, books appointments, sends reminders, and performs communication tasks using artificial intelligence.

We provide a fully managed onboarding and setup experience, including customized integration with your systems.

While a client dashboard is provided for visibility into data and performance, the Service is not self-managed or self-configurable by clients.

You agree that the use of Lysa is strictly for business purposes and not for personal or illegal use.

The system is designed to improve operational efficiency, reduce missed calls, and enhance customer engagement through automation.

2. Fees, Billing & Payment Terms

All services are subject to a custom one-time setup fee and a monthly recurring service fee, which are agreed upon before onboarding.

Fees are charged in your local currency, based on the Stripe account processing configuration.

- We use Stripe as our exclusive payment processor.

- By using our Service, you also agree to Stripe's terms and privacy policy.

- We do not store or have access to any of your sensitive payment information.

- Setup fees are non-refundable once onboarding begins.

- Monthly fees are billed automatically and are non-refundable once the billing cycle has started.

- You may cancel your subscription at any time via written request (email or contact form). The cancellation will take effect at the end of your current billing cycle.

3. AI Service Limitations and Client Responsibilities

Lysa leverages advanced AI systems to deliver responses, take actions, and facilitate business processes.

While the AI is trained to be accurate, fast, and professional:

- You understand and accept that AI may generate inaccurate or unintended responses.

- You are responsible for reviewing all client-facing materials, messages, and system outputs.

- We do not warrant or guarantee that AI-generated responses will meet regulatory, legal, or professional standards in your industry.

- You acknowledge that use of Lysa is at your own risk, and we are not liable for business loss, customer dissatisfaction, or harm caused by AI decisions, logic, or phrasing.

4. Service Availability & Third-Party Dependencies

We aim to provide reliable and continuous service, but we do not guarantee 100% uptime.

Our Service depends on various third-party services (such as Retell AI, Twilio, Stripe, Make.com, Google Sheets, and others).

- We are not responsible for outages or failures caused by any third-party service or integration.

- Scheduled maintenance or updates may occur with or without notice.

- Service interruptions will not entitle users to refunds or compensation.

5. Data Collection, Usage & Privacy

We collect and process user and customer data to operate and improve the Service.

- Data collected includes call activity, caller metadata, call recordings, booking information, and any data passed through third-party integrations.

- All data is processed in compliance with GDPR, and where applicable, CCPA.

- Client data remains the intellectual property of the client, and will not be sold, rented, or used for any purpose other than service delivery.

- Clients may request data deletion at any time. We retain data only as long as required for operational or legal compliance.

- We use and rely on third-party providers to process, transmit, and store data. These providers may store data outside of your country.

6. User Conduct and Acceptable Use

You agree to use the Service only for lawful purposes.

The following uses are strictly prohibited:

- Using the Service for any illegal, abusive, or harmful activities.

- Transmitting spam, robocalls, phishing, or fraudulent content

- Harassing, threatening, or discriminating against any party via voice or text.

- Attempting to access, modify, or disrupt systems you do not own or have authorization for

Violation of these rules may result in immediate termination of the Service without refund and potential legal action.

7. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied.

To the maximum extent permitted by law:

- We disclaim any warranties of merchantability, fitness for a particular purpose, non-infringement, or reliability.

- We do not warrant that the Service will be error-free, secure, uninterrupted, or meet your specific needs.

8. Limitation of Liability

To the fullest extent permitted by law, we are not liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, business interruption, data loss, or reputational harm.

- You acknowledge and agree that our total liability for any claim related to the Service will not exceed the amount you paid us in the 30 days preceding the claim.

- We are not responsible for damages resulting from third-party failures or AI-generated output.

9. Termination

We reserve the right to suspend or terminate your access to the Service at any time, without notice, if you violate these Terms or abuse the Service.

Upon termination:

- You will no longer have access to Lysa or the client dashboard

- All collected data will be deleted after 30 days, unless otherwise requested

- Any unpaid amounts will remain due

10. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Italy. Any legal action or dispute must be filed and resolved in the courts located in Alessandria, Italy. You waive any objection to this jurisdiction.

11. Modifications to These Terms

We may update these Terms from time to time. If we do, the revised version will be posted on our website or client dashboard. Continued use of the Service after changes are made constitutes your acceptance of the new Terms.
